How a Czech company comes into existence

Company formation in the Czech Republic means founding a business corporation, for an owner abroad in practice a limited liability company (s.r.o.), which exists only from its registration in the Commercial Register (obchodní rejstřík). The process runs in a set order: the founding document is signed before a notary, contributions to the share capital are paid in, a notary or the register court makes the entry, and the beneficial owners are recorded. The trade license is a separate step that no longer holds up registration. Choosing between an s.r.o., an a.s. and a branch

The společnost s ručením omezeným (s.r.o.), the limited liability company under the Business Corporations Act, limits shareholders' liability to their unpaid contributions and is run by executive directors (jednatel), with no mandatory supervisory board. An akciová společnost (a.s.), the joint-stock company, suits many shareholders or a listing, with far higher minimum share capital and a choice of board structure. A branch in the Czech Republic (odštěpný závod) lacks legal personality, so the foreign parent answers for its obligations. No nationality or residence condition limits foreign ownership, but under the Foreign Investment Screening Act a non-EU investor taking effective control in a sensitive sector needs prior approval from the Ministry of Industry and Trade (MPO).

Under the Anti-Money Laundering Act, the notary, banks and formation providers must identify their client and whoever acts for it, including its beneficial owner and ownership structure. A corporate shareholder therefore proves it exists with a register extract and shows its chain of owners, and the individuals at the top go into the register of beneficial owners (evidence skutečných majitelů), which is not public. The non-criminal record proves the integrity condition (bezúhonnost) of the Trade Licensing Act, which applies to the company's responsible representative where a trade needs professional competence. Foreign documents need a Czech translation, officially verified unless the original is in an official EU or EEA language, and an untranslated filing delays the register court.

The articles of association must be a notarial deed, which an attorney-in-fact, who need not be a lawyer, can sign under a power of attorney with an officially verified signature; authorizing a local lawyer is one option. Under the Public Registers Act, a registered office (sídlo) is required, backed by a documented right to the premises, such as the owner's consent with verified signatures, so a hosted business address is lawful. The company still needs a trade license, but it no longer precedes the entry, and the Trade Licensing Office (živnostenský úřad) enters a complete notification within 5 working days. A notary can enter the company directly, or the register court decides a petition within 5 working days.

The first tax registrations after the entry

Corporate income tax registration comes first and is not automatic: within 15 days of the entry, the company registers with its tax office at the Financial Administration of the Czech Republic (Finanční správa), receiving a tax identification number (DIČ). VAT registration turns on turnover per calendar year: above CZK 2,000,000 the company becomes a VAT payer from 1 January of the next year, above CZK 2,536,500 from the day after. The first trap: a company that is not a VAT payer becomes an identified person (identifikovaná osoba) on receiving taxable services with a Czech place of supply from a supplier not established there, and must register within 15 days and pay the VAT itself.

What follows the register entry

Entry in the register also brings a data box (datová schránka), set up free and without an application by the Digital and Information Agency (DIA). Authorities deliver there, a document counts as delivered after 10 days unread, and the company must then file tax returns electronically. A corporate bank account is a separate approval, and the bank checks the company's business purpose and owners. Double-entry books start the day the company exists, and the annual filing puts the financial statements in the Collection of Documents (sbírka listin) no later than 12 months after the balance-sheet date, under the Accounting Act. Beneficial-owner changes are filed without undue delay. Once the entry is made, log in to the data box first.
